Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between [Your Business Name] (“Company,” “we,” “us,” or “our”) and the applicant (“Affiliate,” “you,” or “your”), collectively referred to as the “Parties.” By signing up for or participating in our Affiliate Program, you agree to the following terms and conditions: 1. Enrollment To become an Affiliate, you must submit a complete application through our Affiliate Program platform. We reserve the right to approve or reject any application at our sole discretion. 2. Affiliate Responsibilities You agree to promote our products/services in a lawful, ethical, and professional manner. You must not make false or misleading claims about our products/services. You may not engage in spamming, trademark bidding, or unauthorized advertising. You are responsible for ensuring your marketing complies with all applicable laws, including FTC disclosure requirements. 3. Company Responsibilities We will provide unique tracking links, banners, and promotional materials. We will track qualifying sales and make commission payments as described below. 4. Commissions Affiliates will earn a commission of 5% per sale on qualifying purchases made by customers who use the Affiliate’s tracking link. Commissions are paid monthly, subject to a minimum payout threshold of $10. Refunds, chargebacks, or canceled transactions will not qualify for commissions. 5. Payment Payments will be made via Credit/Debit, bank transfer, etc.. Affiliate is responsible for providing accurate payment information. Any transaction fees are the responsibility of the Affiliate. 6. Term and Termination This Agreement begins upon acceptance and will continue until terminated. Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination, you must immediately remove all affiliate links and promotional materials. 7. Intellectual Property We grant you a non-exclusive, non-transferable, revocable license to use our logos, banners, and promotional content solely for participation in the program. You may not modify or alter our trademarks or branding. 8. Prohibited Activities Affiliates may not: Use cookie stuffing, bots, or fraudulent practices. Offer rebates, incentives, or misleading promotions to drive sales. Promote on sites containing adult, violent, or illegal content. 9. Limitation of Liability We will not be liable for indirect, incidental, or consequential damages arising in connection with this program. Our total liability will not exceed the total commissions paid to you under this Agreement. 10. Independent Contractor You are an independent contractor, not an employee, agent, or partner of the Company. You have no authority to bind the Company. 11. Confidentiality Any information provided to you regarding our business, customers, or operations must remain confidential. 12. Governing Law This Agreement will be governed by the laws of Texas, Tarrant County. Any disputes will be resolved in the courts of Tarrant County. 13. Modification We reserve the right to modify the terms of this Agreement at any time. Continued participation in the Affiliate Program constitutes acceptance of the updated terms. By enrolling in our Affiliate Program, you acknowledge that you have read, understood, and agreed to these terms.
